請仔細閱讀以下條款。當您下載、安裝、存取或使用「AI名片王-名片掃描識別管理App」(以下簡稱「本授權應用程式」或「本 App」)時,即表示您已閱讀、理解並同意接受本《使用者授權與服務條款》(以下簡稱「本條款」或「EULA」)的所有內容。如果您不同意本條款的任何部分,請勿下載、安裝或使用本 App。
1. 認知與接受條款 (Acknowledgement)
1.1 本條款僅在您(「終端使用者」或「您」)與 MeishiBox 開發團隊(「開發者」、「我們」)之間締結,而非與 Apple Inc.(「Apple」)締結。開發者(而非 Apple)全權負責本授權應用程式及其內容。
1.2 本條款所規定的授權應用程式使用規則,不得與截至本條款生效日當時有效的《Apple 媒體服務條款與條件》(Apple Media Services Terms and Conditions)(您確認已有機會審閱)相衝突。
1.3 我們保留隨時修改本條款的權利。修改後的條款將公佈於本 App 內或我們的官方網站,並於公佈時生效。若您在條款修改後繼續使用本 App,將視為您已接受修改後的條款。
2. 授權範圍 (Scope of License)
2.1 開發者授予您一個有限的、非獨家的、不可轉讓的授權,允許您在您擁有或控制的任何 Apple 品牌產品(如 iPhone、iPad)上使用本授權應用程式,且僅限於《Apple 媒體服務條款與條件》中所規定的「使用規則」(Usage Rules) 所允許的範圍。
2.2 例外情況:本授權應用程式可透過「家人共享」(Family Sharing) 或大量採購 (volume purchasing) 功能,由與購買者關聯的其他帳戶存取和使用。
2.3 本條款將規範本 App 提供的任何內容、材料或服務(包括透過 App 內購買取得的項目),以及由開發者提供用以取代或補充原始 App 的任何升級,除非該升級附有其專屬的自訂條款。
2.4 使用限制:您同意不會,也不會允許他人:
- a. 將本 App 散佈或使其可在網路上供多個裝置同時使用(家人共享和大量採購除外)。
- b. 出售、轉售、出租、出借、轉讓、再分發或再授權本 App。若您將您的 Apple 裝置出售給第三方,您必須在此之前從該裝置移除本 App。
- c. 複製本 App(除非本授權及使用規則明確允許)。
- d. 對本 App 或其任何部分進行反向工程、反編譯、拆解、試圖推導原始碼、修改或創建衍生作品(除非且僅在適用法律禁止前述限制的範圍內,或在使用本 App 包含的任何開源組件的授權條款允許的範圍內)。
- e. 違反任何適用的法律或法規。
- f. 侵犯我們或任何第三方的智慧財產權或其他權利。
- g. 上傳或傳輸任何含有病毒、惡意軟體或有害程式碼的內容。
- h. 進行任何可能損害、癱瘓、過載或影響本 App 正常運作的行為。
- i. 使用任何自動化工具(如機器人、爬蟲)大量擷取、監控或複製本 App 的任何內容或資料,除非事先獲得我們的書面同意。
3. 服務內容
3.1 基本版功能:
- 名片掃描與光學文字辨識(OCR)。
- 基本名片資訊管理(增、刪、改、查)。
- 資料儲存於您的裝置本地端。
- 基本搜尋功能。
- 最多可儲存 50 張名片。
- 可能包含廣告。
3.2 Pro 版訂閱服務(額外功能):
- 無限量名片掃描與儲存。
- 支援將名片資料匯出至手機通訊錄或其他格式(如適用)。
- 移除 App 內的廣告。
- 可能優先獲得未來推出的新功能。
4. 訂閱、付款與續約
4.1 訂閱 Pro 版:您可以透過 Apple App Store 在本 App 內訂閱 Pro 版服務。我們提供月費和年費兩種訂閱方案,具體價格以 App Store 顯示為準。
4.2 付款:訂閱費用將在您確認購買時透過您的 iTunes 帳戶收取。
4.3 自動續約:您的訂閱將會自動續訂,除非您至少在當前訂閱期結束前 24 小時,前往您的 iTunes 帳戶設定中關閉自動續訂功能。
4.4 續約扣款:您的帳戶將在當前訂閱期結束前的 24 小時內被收取續訂費用,費用金額與您首次訂閱時相同(除非價格變動,屆時會提前通知)。
4.5 管理訂閱:您可以在購買後前往您的 iTunes 帳戶設定中管理您的訂閱並關閉自動續訂。
4.6 退款政策:所有退款請求必須透過 Apple App Store 的標準流程處理。根據 App Store 政策,我們通常不為已使用的部分訂閱期間提供退款。
5. 資料使用與隱私
5.1 使用者內容(名片資料):
- a. 您的責任:您聲明並保證,您擁有掃描、儲存和處理您透過本 App 輸入或掃描的所有名片資訊的合法權利。您不得使用本 App 掃描或儲存任何您無權處理的個人資訊。
- b. 禁止濫用:您同意不會將透過本 App 取得或儲存的任何名片資訊用於非法目的、騷擾、未經請求的商業推廣(垃圾郵件)或任何侵犯他人隱私的行為。
- c. 資料所有權:您掃描和儲存的名片資料的所有權歸屬於您或該名片的合法持有人。
- d. 授權授予:為了使本 App 能夠提供其功能(如儲存、搜尋、辨識),您授予我們一個必要的、全球性的、免權利金的、非專屬的許可,以在本 App 內儲存、處理、顯示和管理您輸入或掃描的名片資料。此授權僅用於提供和改進本 App 服務所需。
5.2 AI 功能使用:
- a. 本 App 可能使用生成式 AI 模型來輔助進行名片文字的辨識、校正或資訊提取。
- b. 我們承諾在中國大陸境外地區的服務不會使用位於中國大陸的生成式 AI 模型進行資料處理。
- c. 準確性:AI 辨識和處理結果可能存在錯誤或不準確之處,僅供參考。您應自行核對並修正辨識結果,我們不對辨識錯誤導致的任何後果負責。
5.3 技術數據:您同意我們可能收集和使用匿名的技術數據及相關資訊(包括但不限於有關您的裝置、系統和應用程式軟體以及週邊設備的技術資訊),這些資訊會定期收集,以利於為您提供軟體更新、產品支援以及與本 App 相關的其他服務(若有)。只要這些資訊的形式不會識別您的個人身份,我們即可將其用於改進我們的產品或為您提供服務或技術。
5.4 隱私政策:我們如何收集、使用、儲存和保護您的個人資訊(包括名片資料和技術數據)受我們的《隱私政策》規範,該政策構成本條款的一部分。請務必查閱我們的《隱私政策》以了解詳細資訊。
6. 智慧財產權
6.1 本 App 的權利:本 App 本身及其所有相關權利,包括但不限於原始碼、目標碼、介面設計、視覺元素、圖形、圖示、商標、文字內容、功能以及所有相關的智慧財產權,均為開發者或其授權方的專有財產。本條款未授予您對本 App 的任何所有權。
6.2 第三方內容與服務:本 App 可能使用或整合第三方服務、函式庫或內容(例如 Firebase、OCR 引擎、AI 模型等)。這些第三方元件的權利歸屬於其各自的所有者,其使用可能受到相應的第三方條款約束。
7. 服務變更、暫停與終止
7.1 服務變更:我們保留隨時自行決定修改、暫停或終止本 App 的部分或全部服務(包括基本版和 Pro 版功能)、更改功能或調整價格的權利,無論是否事先通知。我們將盡力提前通知重大變更,但並無此義務。
7.2 使用者終止:
- a. 您可以隨時停止使用本 App 的基本版。
- b. Pro 版訂閱用戶可以依照第 4.5 條所述,透過 App Store 取消訂閱。取消後,Pro 版功能將在當前訂閱期結束後失效,您的 App 將恢復至基本版狀態(若適用)。
7.3 開發者終止權:如果您未能遵守本條款的任何規定,您在本條款下的權利將自動終止,無需我們另行通知。此外,我們保留在以下情況下,自行決定暫停或終止您對本 App 的存取權限或服務的權利:
- a. 您違反本條款或相關法律法規。
- b. 您從事任何非法、欺詐或濫用行為。
- c. 出於技術、安全、法律或商業原因,我們認為有必要終止服務。
- d. 應政府或監管機構的要求。
7.4 終止後果:本條款終止後,您必須停止所有對本 App 的使用,並從您的所有裝置中刪除本 App。服務終止(無論是由您或我們發起)後,我們可能會根據《隱私政策》中說明的資料保留政策處理您的資料(例如,提供有限時間的匯出功能給 Pro 用戶,之後刪除資料)。但請注意,第 6 條(智慧財產權)、第 9 條(擔保)、第 10 條(產品索賠)、第 11 條(責任限制)以及其他依其性質應繼續有效的條款,在本條款終止後仍然有效。
8. 維護與支援 (Maintenance and Support)
8.1 開發者全權負責提供本條款中所指定的,或適用法律所要求的,關於本授權應用程式的任何維護與支援服務。
8.2 您與開發者均認知,Apple 沒有任何義務提供關於本授權應用程式的任何維護與支援服務。
9. 擔保 (Warranty)
9.1 開發者全權負責處理任何產品擔保,無論是明示的還是法律默示的,但在本條款中有效免除的範圍除外。
9.2 按「現狀」提供免責聲明:您明確承認並同意,使用本授權應用程式的風險由您自行承擔。在適用法律允許的最大範圍內,本授權應用程式以及透過本授權應用程式執行或提供的任何服務均按「現狀」(AS IS) 和「現有」(AS AVAILABLE) 提供,包含所有可能存在的故障,且不附帶任何形式的擔保。開發者特此聲明,不對本授權應用程式及任何相關服務提供任何明示、暗示或法定的擔保和條件。
9.3 Apple 的有限退款責任:本條款規定,若本授權應用程式未能符合任何適用擔保(在前述免責聲明未有效排除的範圍內),終端使用者可以通知 Apple,Apple 將會向該終端使用者退還本授權應用程式的購買價格(若有支付)。
9.4 Apple 的進一步免責:在適用法律允許的最大範圍內,Apple 對於本授權應用程式將不承擔任何其他擔保義務。任何其他因未能符合擔保而產生的索賠、損失、責任、損害、成本或費用,將由開發者全權負責。
9.5 我們不保證本 App 的功能將滿足您的要求,不保證其運作不會中斷或沒有錯誤,不保證服務持續可用,也不保證缺陷將得到修正。
9.6 我們不對 AI 辨識結果的準確性、完整性或及時性提供任何保證。您應對依賴此類資訊所做的任何決定或採取的任何行動負全部責任。
9.7 我們不對因使用或無法使用本 App 導致的任何資料遺失或損壞承擔責任。強烈建議您定期自行備份儲存在本 App 中的重要名片資料。
9.8 某些司法管轄區不允許排除默示擔保或對消費者適用法定權利的限制,因此上述排除和限制可能不適用於您。
10. 產品索賠 (Product Claims)
10.1 您與開發者均認知,是開發者,而非 Apple,負責處理您或任何第三方就本授權應用程式或您擁有和/或使用本授權應用程式提出的任何索賠,包括但不限於:(i) 產品責任索賠;(ii) 任何關於本授權應用程式未能遵守任何適用法律或法規要求的索賠;以及 (iii) 根據消費者保護、隱私權或類似法律提出的索賠。
10.2 本條款對開發者向終端使用者承擔的責任限制,不得超出適用法律所允許的範圍。
11. 責任限制 (Limitation of Liability)
11.1 在法律未禁止的範圍內,在任何情況下,開發者均不對因您使用或無法使用本 App 而引起的或與之相關的任何人身傷害或任何附帶的、特殊的、間接的或後果性的損害承擔責任,無論其原因為何,也無論責任理論(合約、侵權或其他)如何,即使開發者已被告知可能發生此類損害。這些損害包括但不限於:利潤損失、資料遺失或損壞、業務中斷、名片資訊辨識錯誤導致的任何商業損害或損失,或其他任何商業損害或損失。
11.2 某些司法管轄區不允許對人身傷害或附帶或後果性損害的責任限制,因此此限制可能不適用於您。
11.3 在任何情況下,開發者因所有損害對您承擔的全部責任(涉及人身傷害的案件中適用法律可能要求的除外)不應超過您在導致索賠事件發生前十二個月內為使用本 App Pro 版服務實際支付的總金額,或者五十美元 ($50.00 USD)(以較高者為準)。即使上述補救措施未能達到其基本目的,前述限制仍將適用。
12. 智慧財產權索賠 (Intellectual Property Rights Claims)
12.1 您與開發者均認知,若有任何第三方聲稱本授權應用程式或終端使用者擁有及使用本授權應用程式侵害了該第三方的智慧財產權,則開發者(而非 Apple)將全權負責調查、辯護、和解及處理任何此類智慧財產權侵權索賠。
13. 法律遵循 (Legal Compliance)
13.1 您聲明並保證:(i) 您不位於受美國政府禁運的國家,或被美國政府指定為「支持恐怖主義」的國家;且 (ii) 您未被列在任何美國政府的禁止或限制人員名單上。
14. 第三方協議條款 (Third Party Terms of Agreement)
14.1 您在使用本授權應用程式時,必須遵守任何適用的第三方協議條款。例如,您在使用本 App 時,不得違反您的無線數據服務協議。
15. 第三方受益人 (Third Party Beneficiary)
15.1 您與開發者均認知並同意,Apple 及其子公司是本 EULA 的第三方受益人。當您接受本 EULA 的條款與條件後,Apple 將有權利(且將被視為已接受該權利)作為第三方受益人對您執行本 EULA。
16. 準據法與爭議解決
16.1 本條款之解釋與適用,以及因本條款而生或與之相關的任何爭議或索賠,均應以中華民國(台灣)法律為準據法,但不適用其法律衝突原則。
16.2 對於因本條款引起或與之相關的任何爭議,雙方應首先嘗試透過友好協商解決。若協商不成,雙方同意以台灣台北地方法院為第一審專屬管轄法院。

18. 一般條款
18.1 完整協議:本條款及引用的《隱私政策》構成您與開發者之間關於本 App 使用的完整協議,並取代先前或同期就該主題達成的所有口頭或書面協議。
18.2 可分割性:若本條款的任何條款被具有管轄權的法院裁定為無效或不可執行,則該條款應在最大允許範圍內執行,其餘條款應繼續保持完全效力。
18.3 棄權:開發者未能行使或執行本條款中的任何權利或條款,不構成對該權利或條款的放棄。
Please read the following terms carefully. By downloading, installing, accessing, or using "MeishiBox — AI Business Card Scanner & Manager App" (hereinafter referred to as "the Licensed Application" or "the App"), you acknowledge that you have read, understood, and agree to be bound by all contents of this End User License Agreement and Terms of Service (hereinafter "this Agreement" or "EULA"). If you do not agree to any part of this Agreement, please do not download, install, or use the App.
1. Acknowledgement
1.1 This Agreement is entered into only between you ("End User" or "you") and the MeishiBox Development Team ("Developer," "we"), and not with Apple Inc. ("Apple"). The Developer (not Apple) is solely responsible for the Licensed Application and its content.
1.2 The usage rules for the Licensed Application set forth in this Agreement shall not conflict with the Apple Media Services Terms and Conditions in effect as of the effective date of this Agreement (which you acknowledge you have had the opportunity to review).
1.3 We reserve the right to modify this Agreement at any time. Amended terms will be published within the App or on our official website and shall take effect upon publication. If you continue to use the App after the terms have been modified, you will be deemed to have accepted the modified terms.
2. Scope of License
2.1 The Developer grants you a limited, non-exclusive, non-transferable license to use the Licensed Application on any Apple-branded product (such as iPhone, iPad) that you own or control, solely within the scope permitted by the "Usage Rules" set forth in the Apple Media Services Terms and Conditions.
2.2 Exception: The Licensed Application may be accessed and used by other accounts associated with the purchaser through Family Sharing or volume purchasing features.
2.3 This Agreement shall govern any content, materials, or services provided by the App (including items obtained through in-app purchases), as well as any upgrades provided by the Developer to replace or supplement the original App, unless such upgrade is accompanied by its own custom terms.
2.4 Usage Restrictions: You agree that you will not, and will not permit others to:
- a. Distribute or make the App available over a network for simultaneous use on multiple devices (except through Family Sharing and volume purchasing).
- b. Sell, resell, rent, lend, transfer, redistribute, or sublicense the App. If you sell your Apple device to a third party, you must remove the App from the device beforehand.
- c. Copy the App (unless expressly permitted by this license and the Usage Rules).
- d. Reverse engineer, decompile, disassemble, attempt to derive the source code of, modify, or create derivative works of the App or any part thereof (except to the extent that applicable law prohibits such restrictions, or to the extent permitted by the license terms of any open-source components included in the App).
- e. Violate any applicable laws or regulations.
- f. Infringe upon the intellectual property rights or other rights of us or any third party.
- g. Upload or transmit any content containing viruses, malware, or harmful code.
- h. Engage in any activity that could damage, disable, overload, or impair the normal operation of the App.
- i. Use any automated tools (such as bots, crawlers) to mass-extract, monitor, or copy any content or data from the App, unless prior written consent has been obtained from us.
3. Service Content
3.1 Free Version Features:
- Business card scanning and Optical Character Recognition (OCR).
- Basic business card information management (create, delete, edit, search).
- Data stored locally on your device.
- Basic search functionality.
- Storage of up to 50 business cards.
- May contain advertisements.
3.2 Pro Subscription Service (Additional Features):
- Unlimited business card scanning and storage.
- Export business card data to phone contacts or other formats (as applicable).
- Removal of in-app advertisements.
- Possible priority access to future new features.
4. Subscription, Payment, and Renewal
4.1 Pro Subscription: You may subscribe to the Pro service within the App through the Apple App Store. We offer both monthly and annual subscription plans; specific pricing is as displayed on the App Store.
4.2 Payment: Subscription fees will be charged to your iTunes account upon confirmation of purchase.
4.3 Auto-Renewal: Your subscription will automatically renew unless you turn off auto-renewal at least 24 hours before the end of the current subscription period in your iTunes account settings.
4.4 Renewal Charges: Your account will be charged for renewal within 24 hours prior to the end of the current subscription period, at the same amount as your initial subscription (unless the price changes, in which case you will be notified in advance).
4.5 Manage Subscriptions: You may manage your subscription and turn off auto-renewal in your iTunes account settings after purchase.
4.6 Refund Policy: All refund requests must be processed through the Apple App Store's standard procedures. Per App Store policy, we generally do not provide refunds for partially used subscription periods.
5. Data Usage and Privacy
5.1 User Content (Business Card Data):
- a. Your Responsibility: You represent and warrant that you have the legal right to scan, store, and process all business card information you input or scan through the App. You shall not use the App to scan or store any personal information you are not authorized to process.
- b. Prohibited Misuse: You agree not to use any business card information obtained or stored through the App for illegal purposes, harassment, unsolicited commercial promotion (spam), or any conduct that infringes upon the privacy of others.
- c. Data Ownership: Ownership of the business card data you scan and store belongs to you or the lawful holder of the business card.
- d. License Grant: In order for the App to provide its functionality (such as storage, search, recognition), you grant us a necessary, worldwide, royalty-free, non-exclusive license to store, process, display, and manage the business card data you input or scan within the App. This license is solely for the purpose of providing and improving the App's services.
5.2 AI Feature Usage:
- a. The App may use generative AI models to assist with business card text recognition, correction, or information extraction.
- b. We commit that services provided outside of Mainland China will not use generative AI models located in Mainland China for data processing.
- c. Accuracy: AI recognition and processing results may contain errors or inaccuracies and are for reference only. You should verify and correct recognition results yourself; we are not liable for any consequences resulting from recognition errors.
5.3 Technical Data: You agree that we may collect and use anonymized technical data and related information (including but not limited to technical information about your device, system, application software, and peripherals), which is periodically collected to facilitate the provision of software updates, product support, and other services related to the App (if any). As long as such information is in a form that does not personally identify you, we may use it to improve our products or provide services or technologies to you.
5.4 Privacy Policy: How we collect, use, store, and protect your personal information (including business card data and technical data) is governed by our Privacy Policy, which forms part of this Agreement. Please be sure to review our Privacy Policy for detailed information.
6. Intellectual Property
6.1 Rights to the App: The App itself and all related rights, including but not limited to source code, object code, interface design, visual elements, graphics, icons, trademarks, text content, functionality, and all related intellectual property rights, are the exclusive property of the Developer or its licensors. This Agreement does not grant you any ownership rights in the App.
6.2 Third-Party Content and Services: The App may use or integrate third-party services, libraries, or content (such as Firebase, OCR engines, AI models, etc.). The rights to these third-party components belong to their respective owners, and their use may be subject to corresponding third-party terms.
7. Service Modification, Suspension, and Termination
7.1 Service Modification: We reserve the right to modify, suspend, or terminate part or all of the App's services (including Free and Pro features), change functionality, or adjust pricing at our sole discretion at any time, with or without prior notice. We will endeavor to provide advance notice of significant changes but are not obligated to do so.
7.2 User Termination:
- a. You may stop using the free version of the App at any time.
- b. Pro subscription users may cancel their subscription through the App Store as described in Section 4.5. After cancellation, Pro features will expire at the end of the current subscription period, and your App will revert to the free version (if applicable).
7.3 Developer's Right to Terminate: If you fail to comply with any provision of this Agreement, your rights under this Agreement will automatically terminate without notice from us. Additionally, we reserve the right to suspend or terminate your access to the App or its services at our sole discretion in the following circumstances:
- a. You violate this Agreement or applicable laws and regulations.
- b. You engage in any illegal, fraudulent, or abusive conduct.
- c. We determine it necessary to terminate the service for technical, security, legal, or business reasons.
- d. At the request of government or regulatory authorities.
7.4 Consequences of Termination: Upon termination of this Agreement, you must cease all use of the App and delete the App from all your devices. After service termination (whether initiated by you or us), we may process your data in accordance with the data retention policy described in the Privacy Policy (for example, providing a limited-time export function for Pro users before deleting data). Please note, however, that Section 6 (Intellectual Property), Section 9 (Warranty), Section 10 (Product Claims), Section 11 (Limitation of Liability), and other provisions that by their nature should continue to be effective, shall survive the termination of this Agreement.
8. Maintenance and Support
8.1 The Developer is solely responsible for providing any maintenance and support services for the Licensed Application as specified in this Agreement or as required by applicable law.
8.2 You and the Developer acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.
9. Warranty
9.1 The Developer is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed in this Agreement.
9.2 "As Is" Disclaimer: You expressly acknowledge and agree that use of the Licensed Application is at your sole risk. To the maximum extent permitted by applicable law, the Licensed Application and any services performed or provided by the Licensed Application are provided "AS IS" and "AS AVAILABLE," with all faults and without warranty of any kind. The Developer hereby disclaims all warranties and conditions with respect to the Licensed Application and any related services, whether express, implied, or statutory.
9.3 Apple's Limited Refund Responsibility: This Agreement provides that, if the Licensed Application fails to conform to any applicable warranty (to the extent not effectively excluded by the foregoing disclaimer), the End User may notify Apple, and Apple will refund the purchase price for the Licensed Application (if any was paid) to that End User.
9.4 Apple's Further Disclaimer: To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty shall be the Developer's sole responsibility.
9.5 We do not guarantee that the App's features will meet your requirements, that its operation will be uninterrupted or error-free, that the service will be continuously available, or that defects will be corrected.
9.6 We make no guarantees regarding the accuracy, completeness, or timeliness of AI recognition results. You are solely responsible for any decisions or actions taken in reliance on such information.
9.7 We are not liable for any data loss or corruption resulting from the use of or inability to use the App. We strongly recommend that you regularly back up important business card data stored in the App.
9.8 Some jurisdictions do not allow the exclusion of implied warranties or limitations on applicable statutory rights of consumers, so the above exclusions and limitations may not apply to you.
10. Product Claims
10.1 You and the Developer acknowledge that the Developer, not Apple, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of the Licensed Application, including but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
10.2 This Agreement shall not limit the Developer's liability to the End User beyond what is permitted by applicable law.
11. Limitation of Liability
11.1 To the extent not prohibited by law, in no event shall the Developer be liable for any personal injury, or any incidental, special, indirect, or consequential damages whatsoever, arising out of or related to your use of or inability to use the App, regardless of the cause and regardless of the theory of liability (contract, tort, or otherwise), even if the Developer has been advised of the possibility of such damages. Such damages include but are not limited to: loss of profits, loss of or damage to data, business interruption, any commercial damages or losses resulting from errors in business card information recognition, or any other commercial damages or losses.
11.2 Some jurisdictions do not allow the limitation of liability for personal injury or incidental or consequential damages, so this limitation may not apply to you.
11.3 In no event shall the Developer's total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the aggregate amount you actually paid for the use of the App's Pro service in the twelve months preceding the event giving rise to the claim, or fifty US dollars ($50.00 USD), whichever is greater. The foregoing limitations will apply even if the above-stated remedy fails of its essential purpose.
12. Intellectual Property Rights Claims
12.1 You and the Developer acknowledge that, in the event of any third-party claim that the Licensed Application or the End User's possession and use of the Licensed Application infringes that third party's intellectual property rights, the Developer (not Apple) will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
13. Legal Compliance
13.1 You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
14. Third Party Terms of Agreement
14.1 You must comply with applicable third-party terms of agreement when using the Licensed Application. For example, you must not violate your wireless data service agreement when using the App.
15. Third Party Beneficiary
15.1 You and the Developer acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA. Upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.
16. Governing Law and Dispute Resolution
16.1 The interpretation and application of this Agreement, as well as any disputes or claims arising out of or in connection with this Agreement, shall be governed by the laws of the Republic of China (Taiwan), without regard to its conflict of laws principles.
16.2 For any disputes arising out of or in connection with this Agreement, the parties shall first attempt to resolve them through friendly negotiation. If negotiation fails, both parties agree that the Taipei District Court in Taiwan shall be the court of first instance with exclusive jurisdiction.

18. General Provisions
18.1 Entire Agreement: This Agreement and the referenced Privacy Policy constitute the entire agreement between you and the Developer regarding the use of the App, and supersede all prior or contemporaneous oral or written agreements on that subject.
18.2 Severability: If any provision of this Agreement is found by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
18.3 Waiver: The failure of the Developer to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
